Understanding the Document

What Is Foreign GPA Registration?

The phrase “Foreign GPA Registration” is commonly used by clients, but legally the process may involve different steps depending on the purpose of the document. A foreign GPA may involve drafting of a General or Special Power of Attorney in India, execution of the document outside India by the principal, authentication before the correct authority, sending the executed document to India, stamping, adjudication or embossing after receipt, and use of the GPA before the Sub-Registrar, revenue authority, builder, bank or other office in Haryana.

Under Section 33 of the Registration Act, 1908, where the principal does not reside in India, a power of attorney may be recognised for registration purposes if executed before and authenticated by a Notary Public, Court, Judge, Magistrate, Indian Consul, Vice-Consul or representative of the Central Government.

Foreign GPA Is Not a Sale Deed

A very important point must be understood: a GPA does not transfer ownership by itself. A GPA only authorises another person to act on behalf of the principal. If the purpose is to sell or transfer immovable property, the actual transfer still normally requires a properly stamped and registered sale deed, conveyance deed, transfer deed, gift deed, release deed or other legally appropriate instrument.

The Supreme Court in Suraj Lamp & Industries v. State of Haryana held that GPA sale / SA-GPA-Will transactions do not convey title and are not a valid mode of transfer of immovable property. Therefore, a foreign GPA should be treated as an authority document, not as a title-transfer document.

A GPA for sale deed is different from a GPA for mutation, bank NOC, builder transfer or rent agreement.

Choosing the Right Instrument

Foreign GPA vs Special Power of Attorney

For property work, the correct document is very important. A General Power of Attorney gives wider authority — it may cover multiple acts such as managing property, signing documents, appearing before authorities, collecting documents, dealing with banks and completing registration formalities. A Special Power of Attorney is narrower — usually drafted for a specific act, such as signing one sale deed, appearing before one Sub-Registrar, completing mutation for one property, or dealing with one bank or builder.

For high-value property transactions, a Special Power of Attorney is often safer because the authority is limited to a specific property and specific transaction. A broadly worded GPA may create objections, misuse risk or acceptance issues.

Foreign GPA for Sale Deed Registration in Haryana

A vague GPA saying “manage my property” may not be sufficient for sale deed registration. If sale authority is required, it should be clearly and specifically drafted to include:

Stamping / Embossing of Foreign GPA in Haryana

A GPA executed outside India may require stamping after it is received in India. Under Section 18 of the Indian Stamp Act, 1899, an instrument executed outside India and chargeable with duty may be stamped within three months after it is first received in India. In Haryana, this is often practically referred to as stamping, adjudication or embossing of the foreign GPA. An unstamped or improperly stamped GPA may face objection before the Sub-Registrar, bank, builder or revenue authority.

What Goes Wrong

Common objections in foreign GPA cases

1. Property details are incomplete +

The GPA does not mention the correct flat number, plot number, khasra number, conveyance deed details, builder details or revenue details.

2. Sale authority is not clear +

The GPA gives general management power but does not specifically authorise execution and registration of a sale deed.

3. GPA is not properly authenticated abroad +

The document is notarised or signed abroad, but the authentication is not acceptable for the intended use in Haryana.

4. GPA is not stamped after receipt in India +

The GPA is received in India but not stamped, adjudicated or embossed before it is used.

5. Attorney holder cannot explain the transaction +

If the property is jointly owned, a GPA from only one owner may not be sufficient for the full transaction.

Before You Rely on the Document

Is a foreign GPA valid in Haryana? +

A foreign GPA may be used in Haryana if it is properly drafted, executed, authenticated, stamped / adjudicated where required, and accepted by the concerned authority. Requirements depend on the purpose for which the GPA is being used.

Can an NRI sell property in Haryana through GPA? +

Yes, an NRI may authorise another person to act on their behalf through a valid GPA or Special Power of Attorney. However, the actual sale must still be completed through a properly stamped and registered sale deed or conveyance deed.

Does foreign GPA transfer ownership? +

Can the attorney holder sell the property to himself? +

This is a high-risk situation and should not be done without detailed legal review. Self-dealing by an attorney holder may create conflict-of-interest issues and future disputes.

Is Aadhaar mandatory for foreign GPA? +

Aadhaar is useful where available, but many NRIs or foreign residents may not have one. In such cases, passport, OCI, PAN, foreign address proof and other identification documents become important.

Can a foreign GPA be used for agricultural land in Haryana? +

It may be used if properly drafted and accepted, but agricultural land transactions require extra care because khasra, khewat, khatoni, jamabandi, mutation, possession and revenue restrictions must be checked.

What happens if Sub-Registrar objects to a foreign GPA? +
