03 · The Instrument
What a registered GPA actually is
A Power of Attorney authorises a named person to act for, and in the name of, the person executing it. Registration records that authority officially; it does not enlarge it. A registered GPA should answer four questions without ambiguity: who grants the power, who receives it, what exact acts are authorised, and what property or transaction is covered.
Principal
Grants the authority and stays legally bound by acts validly performed within the GPA’s scope.
Attorney holder
Performs the specified acts on the Principal’s behalf. Receiving a GPA does not make anyone an owner.
Scope of powers
Manage, apply, sign, present, admit, receive, sell, litigate: each act exists only if the deed expressly says so.
Registration record
Execution before the competent registering authority puts the instrument on the official record, subject to stamp and identity formalities.
Legal limit
A GPA is an instrument of agency. It cannot substitute for the registered conveyance the law requires to transfer title.
Notarised is not registered
A notary attests signatures. Registration creates a Sub-Registrar record. Where the intended use requires registration or authenticated authority, a notarised GPA alone will not do the job, so the intended use should be checked before money is spent on the wrong execution route.

Not completely. 08 · The Clauses
Powers that must be written deliberately
Every power in a GPA should be there on purpose. A management GPA should not casually contain sale powers, and a sale GPA should not omit the authority to sign and present the transfer document.
Property identification
Flat, plot, khasra, area and title source must match the underlying record. Where title is doubtful, a property verification before drafting saves the whole exercise.
Management & representation
Maintaining, letting, paying dues and appearing before municipal, revenue, society or development authorities, each named expressly.
Execute, sign & present
Authority to execute the intended instrument, present it for registration and admit execution, without which a transaction GPA fails at the counter.
Sale or transfer power
Included only when genuinely intended, with the property and transaction safeguards drafted in, because it materially changes stamp classification and scrutiny.
Receipt of consideration
Authority to receive and acknowledge money is never assumed from a general clause; if the Attorney will handle funds, the deed must say so.
Restrictions & revocation

A GPA does not transfer ownership
The Supreme Court clarified in Suraj Lamp & Industries (P) Ltd. (2) v. State of Haryana, (2012) 1 SCC 656, that a Power of Attorney is an instrument of agency, not a conveyance of title. Even a registered GPA does not make the Attorney, or a purchaser, the owner. A lawful transfer still requires the appropriate registered transfer instrument.

Six ways a registered GPA still fails
A document can be registered and still be unusable for the act it was meant to enable. These are the defects we draft against.
Sweeping powers
The deed grants more authority than the Principal ever intended, and misuse risk rises with every extra verb.

Flat, plot, khasra or area details that do not match the title papers stall the very transaction the GPA exists for.
Missing presentation power

01What is a registered GPA?
A registered GPA is a Power of Attorney executed through the applicable registration process and entered in the registration record. It authorises the Attorney to perform only those lawful acts that are actually written into the instrument.
02Is a notarised GPA the same as a registered GPA?
No. Notarisation attests execution before a Notary, while registration creates an official record before the competent authority. Where registration or authenticated authority is required for the intended work, notarisation alone does not replace it.
03Is registration of every GPA compulsory?
No, not every Power of Attorney must be registered. The required form depends on the powers, intended use, receiving authority and applicable stamp and registration law. A generic notarised GPA should not be relied on for Gurgaon property or registration work without first checking whether registration or authenticated authority is required.
04Does the Principal have to attend the Sub-Registrar?
For a GPA executed and registered locally, the Principal ordinarily appears before the registering authority for identity and execution formalities, subject to the applicable procedure and any legally available exception.
05Does the Attorney holder also have to attend?
It depends on how acceptance is recorded, the nature of the instrument and the concerned office’s current procedure. The execution plan is confirmed before the appointment is booked, so nobody travels unnecessarily.
06Are two witnesses required?
Two witnesses with identity proof are normally prepared for the GPA registration appointment. The official Haryana registration checklist also identifies two witnesses with ID proof among the registration requirements. Their precise role still depends on the instrument and current office procedure.

Stamp duty and registration charges can depend on the relationship between the parties, any consideration, sale or transfer powers, the place of execution and the legal character of the instrument. The correct charge heads are confirmed after the proposed authority is reviewed, which protects you from paying under the wrong classification.
09Can a GPA be registered at any Tehsil?
Not necessarily. Gurugram district includes several tehsil and sub-tehsil jurisdictions, but the competent office is determined by the instrument, the parties, the intended act, place of execution and the property where relevant. We confirm the correct office before any appointment is booked.
10What if the Principal is outside India?

11Can an Attorney sell property under a GPA?
Only if the GPA lawfully and expressly authorises the relevant sale-related acts, and the transaction itself complies with stamp, registration, title and other applicable requirements. The GPA does not transfer ownership to the Attorney or to a purchaser by itself.
12Does a GPA transfer ownership of property?
No. A GPA is an instrument of agency, not a conveyance of title. Ownership of immovable property does not pass merely by executing or registering a Power of Attorney; a registered transfer instrument is still required.
13Can a registered GPA be cancelled?
A Power of Attorney may be revocable depending on its terms, applicable agency law and whether any legally recognised interest is involved. Cancellation should follow the appropriate deed, notice and registration procedure, and relevant authorities or third parties should be informed where necessary.
